1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and ArceusX Ventures LLC ("Company," "we," "us," or "our") governing your access to and use of Sieve, including the website at sieve.arceusxventures.com and the application at app.sieve.arceusxventures.com (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service.

2. Description of Service

Sieve is an AI-powered due diligence platform designed for venture capital professionals. The Service provides:

• Automated analysis of pitch decks and investment documents
• AI-generated scoring and assessment using our IMPACT-X framework
• Investment memo generation
• Deal flow management and tracking
• Integration with third-party services (e.g., Notion)

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access to your account

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization.

4. Subscription and Payment

Access to certain features of the Service requires a paid subscription. By subscribing, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid payment information and authorize recurring charges
• Accept that fees are non-refundable except as required by law

We reserve the right to modify pricing with 30 days' notice to active subscribers.

5. AI-Generated Content Disclaimer

• AI outputs are not investment advice. Content generated by Sieve is for informational purposes only and should not be relied upon as the sole basis for investment decisions.
• AI may produce errors. While we strive for accuracy, AI-generated content may contain inaccuracies, omissions, or hallucinations. Always verify critical information independently.
• Human judgment is essential. AI analysis should supplement, not replace, your own due diligence and professional judgment.
• No guarantees of outcomes. We make no guarantees about the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

You are solely responsible for any decisions made based on information provided by the Service.

6. User Content and Data

You retain ownership of all content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to:

• Process and analyze User Content to provide the Service
• Store User Content on our systems and those of our service providers
• Generate derivative works (analyses, reports) from User Content

You represent and warrant that:

• You have the right to upload and share User Content
• User Content does not violate any third party's rights
• You will not upload content that is illegal, harmful, or violates these Terms

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble the Service
• Use automated means to access the Service without permission
• Share account credentials or allow unauthorized access
• Upload malicious code, viruses, or harmful content
• Violate any applicable laws or third-party rights

8. Intellectual Property

The Service, including its software, design, logos, and documentation, is owned by ArceusX Ventures LLC and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the Service without permission
• Use our trademarks without prior written consent
• Remove or alter any proprietary notices

You retain ownership of your User Content. Reports and analyses generated by the Service based on your User Content are licensed to you for your use.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g., Notion, Google). Your use of such services is governed by their respective terms and privacy policies. We are not responsible for third-party services or their content.

10. Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or secure
• AI-generated content will be accurate, complete, or suitable
• The Service will meet your specific requirements
• Errors or defects will be corrected

11. Limitation of Liability

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless ArceusX Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account data after a reasonable retention period
• Provisions that should survive termination (liability, indemnification, etc.) will remain in effect

14. Modifications to Terms

We may modify these Terms at any time by posting the revised Terms on the Service. Material changes will be communicated via email or notice within the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
